Transforming Foundation Governance to Support Long-Term Institutional Success
Challenge
Christopher Newport University (“CNU”) operates four Foundations, including the Education Foundation with approximately $72M in assets. As the Education Foundation Board grows to meet expanding institutional and alumni needs, CNU’s Advancement Office, Education Foundation, and Real Estate Foundation engaged DLG to modernize governance practices and strengthen board operations. Key governance documents—including the Memorandum of Understanding with the University, bylaws, and Articles of Incorporation—had not been reviewed in more than 15 years. The Foundations requested a comprehensive audit and revision of these materials to align with current best practices in higher‑education philanthropy and nonprofit governance.
The Case
Exceptional foundations require exceptional governance. While philanthropy fuels innovation and student success, strong governance ensures that charitable assets are managed responsibly, transparently, and in accordance with the highest fiduciary and ethical standards. The CNU Foundations launched a governance modernization initiative to build a contemporary framework grounded in best practices in nonprofit management, public higher education, and philanthropic stewardship. This work strengthens accountability, supports institutional priorities, and enhances confidence among donors, alumni, volunteers, and strategic partners. Modernizing governance is not simply a document refresh—it is the creation of the infrastructure that enables responsible growth, effective risk management, and long‑term institutional impact. In today’s complex philanthropic environment, donors expect transparency, regulators demand accountability, and universities rely on strong foundation partners capable of safeguarding assets while advancing strategic priorities. Strong governance is the foundation for successful fundraising, responsible stewardship, and institutional excellence. DLG’s work produced a governance framework that:
